These Terms of Service ("Terms") govern your access to and use of the services provided by OFFMENUDOTSPACE, a Delaware corporation ("OffMenu," "we," "our," or "us"), including our website, mobile applications, and platform (collectively, the "Services").

By using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use OffMenu.

1. Eligibility

You must be at least 13 years old to use OffMenu. By using the Services, you represent that you meet this requirement.

2. Account Registration

You may browse OffMenu without an account, but full functionality (e.g. booking, messaging) requires registration. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or abuse the platform.

3. Your Responsibilities

You agree not to use the Services:

• For any unlawful, misleading, harmful, or abusive purpose
• To post or share content that is offensive, pornographic, infringing, or otherwise inappropriate
• To impersonate others or misrepresent your affiliation
• To interfere with the operation or security of the Services

We reserve the right to remove content or users that violate these guidelines.

4. Platform Role

OffMenu is a platform that connects pop-up hosts, event organizers, ticket buyers, and venue owners. We do not own or operate any venues or events.

• We do not guarantee the accuracy of listings or availability
• We are not a party to agreements between users (e.g., bookings, event terms)
• We do not guarantee successful bookings, attendance, or event outcomes

You agree that OffMenu is not responsible for any loss, damage, or injury that arises out of interactions with other users.

5. Bookings, Payments, and Cancellations

Currently, OffMenu facilitates introductions between users. Payments are handled externally between users unless otherwise specified. We do not hold funds or provide escrow services.

• We do not offer refunds
• We allow cancellation of bookings when supported by the parties involved
• Future features may enable paid ticketing, in which case separate payment terms will apply

6. Content Ownership and Rights

You may upload content such as venue details, event photos, or profile info. You retain ownership of your content, but by uploading it, you grant OffMenu a worldwide, non-exclusive, royalty-free license to use, display, and promote that content on our platform and in our marketing.

You must only upload content you have rights to. We may remove any content that violates these Terms or applicable law.

7. Moderation and Communication

OffMenu enables users to message each other. For safety and quality purposes, we may monitor, log, and review communications on the platform. We do not guarantee the safety, reliability, or conduct of any user you interact with.

8. Platform Changes

We may update, suspend, or discontinue any part of the Services at any time without liability. We are not responsible for delays or disruptions outside our control (e.g., internet outages, technical issues).

9. Disclaimers and Liability Limits

To the maximum extent permitted by law:

• OffMenu provides the Services "as is" without warranties of any kind
• We disclaim responsibility for:
  • Property damage or personal injury
  • Misconduct by users
  • Booking failures or disputes
  • Lost revenue or damages from use of the platform

You agree to release OffMenu from any claims arising from your use of the Services or your interactions with other users.

10. Indemnity

You agree to indemnify and hold harmless OffMenu from any claims, damages, or costs (including legal fees) arising out of your use of the Services, your content, or your violation of these Terms.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of New York.

You agree to resolve any dispute with OffMenu through binding individual arbitration, and waive your right to participate in any class action or jury trial. This does not apply to claims that cannot legally be arbitrated.

12. Termination

We may suspend or terminate your account at any time for violations of these Terms or conduct that risks the safety, integrity, or reputation of the platform.

You may delete your account at any time. Certain provisions (e.g., IP rights, liability limits, indemnity) survive termination.

13. Updates to These Terms

We may update these Terms from time to time. If we make material changes, we'll notify you via email or platform notification. Your continued use of the Services constitutes acceptance of the updated Terms.
